HEALTH SERVICE AGREEMENT

Terms stated in this Agreement, including those terms in the Preamble, with a capital letter and not (otherwise) defined herein shall have the meaning as set out in Annex A.

2.1 As of the Effective Date, Your WoW will provide the Wellness Services to the Member.

2.2 As compensation for the Wellness Services provided, the Member shall pay the Fee.

3.1 The Fee for the Wellness Services to be provided, as selected by the Member, will be paid by the Member in full upon check out of the Webshop;

4.1 This agreement has a term of one (1) year and will be extended each time by one year unless the Member has indicated not to renew the Agreement. within thirty (30) Days before the end of the term.

4.2 The Agreement may not be terminated by the Member during the membership year.

5.1 All information that (i) the Member has provided or will provide to Your WoW and (ii) the information that Your WoW generates by herself based on the information provided by the Member, (collectively, the "Information") will be treated by Your WoW as strictly confidential.

5.2 Furthermore Your WoW undertakes (i) not to give the Information or any part thereof to persons other than persons within its organization that should take note of it or of any part thereof and (ii) to use the Information or any part thereof not for any other purpose than for the provision of the Wellness Services and will not allow others to use the Information.

5.3 Finally Your WoW undertakes to adopt all those measures to prevent the use or publication of the Information, unless expressly permitted herein.

6.1 The Member certifies that the information he has provided in the Subscription form and the Information he will provide in and during the Wellness Test is true and correct.

6.2 Notices in connection with this Agreement must be in writing or by e-mail. Parties can send a message or notice in connection with this Agreement solely to the addresses listed in Annex C (or such other address as it is given at least five (5) Business Days before the notice).

6.3 This Agreement and any other documents prepared pursuant to this Agreement constitutes the entire agreement between the parties and supersede all other previous agreements between the parties, whether entered written or oral.

6.4 If any provision of the Agreement is not valid or unenforceable, it will not affect the validity and enforceability of the remaining provisions of this Agreement. In the event any provision is void or unenforceable, the Parties shall endeavour to agree on a replacement provision that is valid, enforceable and fairly similar as soon as reasonably possible and that has, as far as possible, the same commercial and legal scope and content that it replaces.

6.5 The provisions of this Agreement and interpretations thereof, are construed in accordance with Dutch law, that is the applicable law.

6.6 The Parties agree that the competent court in Amsterdam has exclusive jurisdiction to settle any disputes arising out of or relating to this Agreement and therefore lawsuits, legal actions or proceedings that would result could be presented to this court.

1.1 Unless the contrary follows from the context of this Agreement:
(a) The singular includes the plural and vice versa;
(b) References to a supplement, annex, clause, statement or consideration are references to a supplement, annex, clause, statement or consideration in this Agreement;
(c) The headings in this Agreement are included for information purposes only and do not affect the interpretation of this Agreement;
(d) A reference to this Agreement or any other agreement or other document is considered as a reference to this Agreement or, as the case may be, such other agreement or such other document and any supplements thereto or other changes;
(e) Annexes and supplements to this Agreement form an integral part of this Agreement;
(f) References in this Agreement to "includes" or "including" shall be construed as references to "including but not limited to" unless the context indicates otherwise.

1.2 Defined terms
"Application form" means the digital form that is provided by Your WoW on the website for the registration as a member of Your World of Wellness;
"Agreement" means this HSA (Health Service Agreement); "Business Day" means any day except (i) Saturday or Sunday or (ii) a day on which a bank in the Netherlands, is authorized or required to remain closed;
"Effective Date" means the date on which Your WoW receives the fee; "Fee" means the sales price as advertised for the selected service on this website and as mentioned in the Shopping Cart, and includes value added tax;
"Information" has the meaning assigned as stated in Article 5.1; "Parties" means the parties to this Agreement;
"Personal Health Maintenance Program" or "PHMP" means the recommended program being prepared for the Member by Your WoW in response to the results of the Wellness Test® taken by the Member. The program may include advice on nutrition, exercise, and relaxation. The program is included on the Personal Page of the website made ​​available to the Member;
"Personal Page" means the personal page of the Member on the Website, which can solely be visited and accessed with (i) the username, (ii) the ID code and (iii) the password as provided by Your WoW. The Personal Page contains amongst others (A) the profile of the Member, (B) the Wellness Test®, (C) the Personal Health Maintenance Program, (D) the recommended coaching videos, (E) the purchase(s) through the Web Shop, (F) HSA and invoice, (G) agendas, and (H) all the data that will be added from time to time to the Personal Page;
"Shopping Cart" means the virtual cart on this Website where products and services that have been selected by the Member are added by the member with the intention to purchase these products and/or services;
"Web Shop" means the digital store that is made available on the Website;
"Website" means www.yourworldofwellness.com;
"Wellness Index" means the index on which the current lifestyle of the Member is expressed;
"Wellness Services" means the services referred to in Annex B;
"Wellness Test®" means the digital and physical test by which the current lifestyle of the Member is assessed;
"Welcome Pack" means the box that will be delivered to the home address of the Member and contains the Your WoW Home Train Kit;
"Member" means the person interested in purchasing services and/or products from Your WoW, as mentioned on this website;
"Your WoW" means Your WoW B.V.

There are several membership types available: Your WoW Index, Your WoW Index Coach, Your WoW Experience White, Your WoW Experience Executive and Your WoW Experience Platinum. In all membership types the following is included. Depending on the membership type, more inclusions apply, for which we kindly refer to the Website.

1 Providing a membership card with RFID functionality, including (i) user name, (ii) ID code and (iii) temporary password.
2 Creating the Personal Page on the Website.
3 On initial registration providing the Home Train Kit.
4 The provision of the Wellness Test®.
5 Providing the Wellness Index.
6 Preparing the Personal Health Maintenance Program.
7 The provision of programs in the field of nutrition, exercise and relaxation at the discretion of the Member.
8 Providing Digital (video) coaching (not inclusive for The WoW Index).
9 Providing discounts with the purchase of selected wellness products through the Web Shop.
